1. Agreement to Terms

By accessing or using services provided by Eclatrecon ("Company," "we," "us"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services

Eclatrecon provides the following services:

  • Website design and development
  • AI agent and chatbot development
  • Mobile application development
  • Search engine optimization (SEO)
  • Digital marketing and social media management
  • Video production and graphic design
  • Workflow automation (n8n, Zapier)
  • Custom software development
  • E-commerce development

The specific scope of each engagement will be defined in a separate project proposal or contract agreed upon by both parties before work begins.

3. Project Process

  1. Discovery Call: We discuss your requirements and goals
  2. Proposal: We send a detailed proposal with scope, timeline, and pricing
  3. Agreement: Both parties agree to the proposal terms
  4. Payment: Advance payment as per the agreed terms
  5. Development: We begin work and provide regular updates
  6. Review & Delivery: You review, provide feedback, and we finalize
  7. Handover: Final delivery of all project assets and credentials

4. Payment Terms

  • Payment structure will be defined in the project proposal (typically 50% advance, 50% on delivery)
  • Payments are accepted via bank transfer (NEFT/RTGS/IMPS), UPI, PayPal, or international wire transfer
  • All prices are in INR (₹) for Indian clients and USD ($) / GBP (£) for international clients, as specified in the proposal
  • GST (18%) is applicable for Indian clients as per government regulations
  • Late payments may result in project delays or suspension

5. Intellectual Property

  • Upon full payment, all custom-developed code, designs, and assets become your property
  • We retain the right to showcase the project in our portfolio (unless NDA is signed)
  • Third-party assets (stock images, fonts, plugins) are subject to their respective licenses
  • Pre-existing frameworks, libraries, and tools used remain under their original licenses

6. Client Responsibilities

You agree to:

  • Provide all necessary content, images, logos, and information in a timely manner
  • Respond to review requests within 5 business days
  • Provide clear and constructive feedback
  • Ensure all content you provide is legally owned or licensed by you
  • Maintain confidentiality of any shared credentials or sensitive information

7. Revisions and Changes

  • The number of revision rounds will be specified in the project proposal (typically 2-3 rounds)
  • Additional revisions beyond the agreed scope may incur extra charges
  • Major scope changes after project kickoff require a revised proposal and may affect timeline and pricing

8. Project Timeline

  • Estimated timelines are provided in the project proposal
  • Delays caused by late client feedback, content, or approvals are not our responsibility
  • We will communicate any foreseeable delays proactively
  • Force majeure events (natural disasters, pandemics, etc.) may affect timelines

9. Confidentiality

Both parties agree to keep all shared information confidential. If required, we are happy to sign a Non-Disclosure Agreement (NDA) before project commencement.

10. Limitation of Liability

  • Eclatrecon shall not be liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the total amount paid for the specific project
  • We are not responsible for third-party service disruptions (hosting, APIs, payment gateways)
  • Post-delivery issues caused by client modifications are not covered under our warranty

11. Warranty

We provide a 30-day bug-fix warranty after project delivery. This covers:

  • Bugs in the delivered code
  • Issues that deviate from the agreed project scope

This does not cover:

  • New feature requests
  • Issues caused by client-side modifications
  • Third-party service changes or updates

12. Termination

  • Either party may terminate the engagement with 7 days written notice
  • Upon termination, you pay for all work completed up to the termination date
  • All delivered work up to the termination date becomes your property (subject to full payment)
  • Refund policy applies as outlined in our Refund Policy

13. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India.
